Release of Claims, Assumption of Risk & Liquidated Fee Schedule • California
⚠️ Notice: Read this entire agreement carefully before signing. It affects your legal rights against Cycle Cycle, LLC, its members, and property owners. You are waiving the right to sue for ordinary negligence, including active and passive ordinary negligence under California law.
This Agreement is between Cycle Cycle, LLC, a California limited liability company (the “Company”), and the adult who signs as Renter (and any Passenger and any parent or legal guardian who signs below). “Released Parties” means the Company; its members, managers, officers, employees, contractors, and agents; and the owner(s), occupant(s), and landlord of the residential premises in Encinitas, California used to store and charge the fleet. “Equipment” means the Class 2 electric bicycle (Electra Ponto Go or equivalent), plus the helmet, lock, charger, and any other accessory issued with it.
1. Renter, Passenger, and Equipment
Classification: This rental is a Class 2 electric bicycle only (throttle and pedal-assist, motor assistance ceases at 20 mph under California Vehicle Code § 312.5). The Company does not rent Class 1 or Class 3 bicycles. The Renter will not alter the classification, firmware, speed limiter, battery, or motor.
Who may operate: Only the named Renter may operate the Equipment. Minimum operator age is 16. If the operator is 16 or 17, a parent or legal guardian must sign Section 8. A person under 16 may not operate the Equipment.
Passenger Rules: One passenger is allowed only on the bicycle’s permanent extra seat, only if that person wears a fastened helmet, and combined weight does not exceed manufacturer payload (300 lbs).
2. Condition, Operation, and Money
2.1 Inspection: The Company maintains; you decide whether to ride. Before riding, you will inspect the Equipment and complete a brake-and-throttle check during handover. If anything appears unsafe or incomplete, do not ride and notify the Company immediately.
2.2 Return: Return the Equipment to the agreed place at or before the agreed time. Late return may be charged at published rates plus recovery cost.
2.3 Locking: Whenever unattended, lock the Equipment to a permanent, immovable structure with the provided heavy-duty lock. Failure to lock is a material breach.
2.4 Theft reporting: If stolen or missing, call the Company immediately and file a police report.
2.5 Security hold: You authorize a temporary pre-authorization hold of $500 per bicycle on the card on file. The hold is not an extra fee and is released within 10 business days after undamaged return and inspection.

3. Local Rules and Prohibited Use
3.1 E-Bike Dynamics: A Class 2 e-bike accelerates quickly from a stop and takes longer to brake. You certify you can safely ride in traffic and will ride within your skill.
3.2 Encinitas & California Rules: Dismount and walk the e-bike on sidewalks in designated business districts (including Downtown Encinitas and Cardiff-by-the-Sea). Do not ride on sand, beaches, in ocean water, or through wet coastal debris. Obey trail and speed postings. Class 2 e-bikes are permitted on designated multi-use coastal paths.
3.3 Helmet Mandatory: Every operator and passenger, of any age, must wear a properly fitted and fastened helmet for the entire ride. Closed-toe shoes required.
3.4 Prohibited: No riding under the influence of alcohol, cannabis, or drugs. No letting unauthorized persons operate the bike. No commercial use/for-hire. Do not remove or tamper with the GPS tracker, speed limiter, or firmware.
3.5 Charging Safety: If charger is issued, charge on a hard non-flammable surface in a ventilated indoor space attended—never overnight or blocking an exit.
3.6 GPS: A tracker is installed solely for asset recovery and theft investigation.
4. Assumption of Risk, Release of Claims, and Indemnity
4.1 Assumption of Risk: I VOLUNTARILY AND FREELY ASSUME ALL RISKS, KNOWN AND UNKNOWN, OF OPERATING OR RIDING AS A PASSENGER ON A CLASS 2 ELECTRIC BICYCLE IN COASTAL SAN DIEGO COUNTY, including rapid acceleration, longer stopping distance, collision with cars/pedestrians/objects, road hazards, mechanical issues, and serious injury, paralysis, or death.
4.2 Release of Ordinary Negligence (Active & Passive): TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, I RELEASE AND FOREVER DISCHARGE THE RELEASED PARTIES FROM ALL CLAIMS FOR INJURY, DEATH, OR PROPERTY DAMAGE ARISING OUT OF THE RENTAL, DELIVERY, INSTRUCTION, MAINTENANCE, DESIGN, OR USE OF THE EQUIPMENT, INCLUDING ACTIVE OR PASSIVE ORDINARY NEGLIGENCE.
4.3 California Civil Code § 1542 Waiver: I expressly waive all rights under California Civil Code § 1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
4.4 Indemnity: I will defend, indemnify, and hold harmless the Released Parties from any third-party claims arising from my use of the Equipment.
4.5 Venue & Severability: Exclusive venue is San Diego County, California. If any clause is unenforceable, the remainder remains fully valid.
5. Renter Representations
By signing, I represent: (a) I am 18 or older (or parent/guardian is signing Section 8); (b) I am not impaired by alcohol or drugs; (c) I know how to ride a bicycle; (d) only named riders will operate; (e) ID provided is valid; (f) I have read and understand this entire agreement.
6. Passenger Agreement
If signing as Passenger, I agree to Section 4 in full (Assumption of Risk, Release of Negligence, § 1542 waiver, indemnity) and Section 3 rules.
8. Parent or Legal Guardian (For Riders Under 18)
I am the legal parent or guardian of the minor rider. I consent to the rental and agree to this entire Agreement, including Section 4, on behalf of the minor.
9. Renter Execution & Binding Digital Signature
BY SIGNING, I CERTIFY THAT I HAVE READ THIS ENTIRE AGREEMENT, UNDERSTAND THAT I (AND MY HEIRS) AM WAIVING VALUABLE LEGAL RIGHTS, AND SIGN VOLUNTARILY. A DIGITAL OR ELECTRONIC SIGNATURE IS BINDING UNDER CALIFORNIA LAW. A TIMESTAMPED AUDIT TRAIL WILL BE PRESERVED.

1. SMS Program Description: CycleCycle provides transactional text messaging for booking confirmations, morning delivery arrival window notices (8:00 AM – 10:00 AM), rental duration updates, and pickup coordination.
2. Opt-In & Consent: By checking the SMS opt-in checkbox during checkout, you consent to receive transactional text messages from CycleCycle. Opt-in is not required to complete a rental.
3. Frequency & Rates: Message frequency varies per transaction (typically 2 to 4 messages per active rental). Message & data rates may apply.
4. Opt-Out (STOP): You can cancel the SMS service at any time by texting STOP to (760) 840-7350 or replying STOP to any message from CycleCycle. You will receive a single confirmation of your unsubscribe.

2. How We Use Mobile Data: Your phone number is used solely to dispatch transactional notifications regarding your specific rental booking (delivery ETA, pickup coordination, customer support).
3. Secure Service Providers: We use Twilio strictly as our technical SMS delivery gateway and Stripe for encrypted payment processing. Neither provider uses your phone number for their own marketing.
4. Opting Out: Text STOP at any time to opt out of SMS communications.
